Thousands of Jobs Waiting for You…

Starting a business in Nigeria is an exciting opportunity, whether you want to run a small shop, launch an online business, start a consulting service, build a fashion brand, or establish a company that will eventually employ other people.

However, having a business idea is only the beginning. If you want your business to operate formally, one of the most important steps is understanding how to register a business in Nigeria.

The Corporate Affairs Commission (CAC) is the government agency responsible for registering and maintaining records of businesses, companies, limited liability partnerships, limited partnerships and incorporated trustees in Nigeria.

Fortunately, much of the registration process can now be completed online through the CAC’s Company Registration Portal (CRP). The Commission provides electronic registration certificates, meaning applicants can download their approved certificates from their portal dashboard rather than relying on the old manual collection process.

This guide explains the process in simple terms, including the difference between registering a business name and incorporating a company, the documents you may need, the basic steps involved, common mistakes to avoid and what to do after registration.

Important: CAC requirements, fees and procedures can change. The information below reflects the official CAC information available at the time of writing. Always confirm current requirements and fees on the official CAC portal before making payment.

What Does Business Registration Mean in Nigeria?

Business registration is the formal process of registering your business with the appropriate government authority so that the business can operate under a legally recognized name and structure.

For many small business owners, this means registering a business name with CAC.

For entrepreneurs establishing a more structured organization, it may mean incorporating a limited liability company.
The right option depends on the nature, size and future plans of your business.

Registration can also make it easier for customers, suppliers, financial institutions and potential partners to verify that your business exists.

CAC explains that registration provides legal recognition and can help businesses access corporate bank accounts, contracts, government or financial services and greater credibility with customers and partners.

Business Name vs Limited Liability Company

Before you start the registration process, you should decide what type of entity is appropriate for your business.

-Business Name

A business name is often suitable for individuals, sole proprietors and small businesses that want to operate formally without incorporating a limited liability company.

For example, an individual selling clothing online could register a business name such as:
John Fashion Hub
or
John Creative Services

The CAC currently allows individuals and proprietors to register business names without necessarily using a lawyer, chartered accountant or chartered secretary.

-Limited Liability Company

A limited liability company may be more appropriate if you are building a business with multiple owners, investors, employees or long-term expansion plans.

For example, a growing technology company may choose to incorporate as a private company limited by shares.

Company registration involves additional information and documentation compared with a simple business-name registration. CAC’s official company registration process includes name availability, name reservation, completing the digital pre-registration application, submitting supporting documents and paying applicable filing and statutory stamp-duty fees.

If you are unsure which structure is appropriate for your situation, professional legal or accounting advice can be useful.

1. Choose a Business Name

The first practical step is deciding what you want your business to be called.

Your proposed name should be relevant to the business and sufficiently distinctive.

For example, if you want to start a digital marketing business, you could consider names related to marketing, media, advertising or technology.

Avoid choosing a name simply because it sounds attractive. Think about whether it will still make sense if the business expands into other products or services.

You should also check whether the name is available before proceeding.

CAC’s official business-name process starts with checking the availability of the proposed business name.

It is a good idea to have alternative names ready in case your first choice is unavailable.

2. Check the Availability of the Name

After choosing your preferred name, you need to conduct a name availability search through the CAC registration system.

The purpose is to determine whether the proposed name can be registered.

CAC currently lists name availability search as part of the registration process and gives a service timeline of four working hours for availability searches under its revised service timelines.

However, a stated service timeline should not be interpreted as an absolute guarantee for every application. Queries, technical issues or incomplete information can affect processing.

If your preferred name is unavailable, you can select another name and try again.

3. Create an Account on the CAC Portal

Once you are ready to proceed, you need an account on the CAC’s online registration system.

The official iCRP registration portal allows members of the public to create accounts.

During account creation, applicants may be required to provide personal information such as their name, date of birth, nationality, phone number, email address, occupation and means of identification.

Make sure the information you provide is accurate.

Do not create an account using false personal information simply to speed up the process.

Your details may later be connected to your registration application and identity verification.

4. Reserve Your Business Name

Once the name search indicates that your proposed name is available, you can proceed with formal name reservation.

Name reservation helps secure the proposed name while you complete the registration process.

CAC’s business-name registration process specifically requires applicants to check availability and then complete the relevant pre-registration process through the Company Registration Portal.

Keep any reservation or availability code provided by the portal because you may need it when continuing the registration.

5. Complete the Business Registration Form

After your name has been reserved, you can proceed with the actual business-name registration.

The CAC system requires applicants to provide relevant business information.

The official CAC user guide indicates that applicants registering a business name need to provide information such as:

-Email address
-Business address
-Date the business commenced

You will also need to provide information about the proprietor or proprietors.

Take your time when completing the form.

A simple spelling mistake in your name, address or other important information can create unnecessary problems later.

6. Provide Proprietor Information

For a business-name registration, you will need to provide information about the owner or owners of the business.

Depending on the structure, this can include proprietor or partner details.

The CAC user guide indicates that proprietor information is entered after the business information section.

Make sure the information matches your identification documents.

Consistency is important because discrepancies between your application and your identification documents can lead to queries or delays.

7. Prepare Your Identification Documents

You should have the necessary identification documents available before starting the application.

CAC’s business-name registration guide states that proprietor documents can include:

-Means of identification
-Passport photograph
-Signature
These documents are uploaded during the registration process.

CAC’s published business-name checklist has also identified recognized means of photo identification such as a National Identification Card, international passport data page, driver’s licence or voter’s card.

Because requirements can change, check the current portal instructions before uploading your documents.

8. Upload the Required Documents

After entering the relevant information, upload the required documents through the registration portal.

Make sure the documents are:

-Clear
-Legible
-Correct
-Valid where applicable

Consistent with the information in your application

Do not upload someone else’s documents or documents containing information that does not correspond with your application.

Poor-quality documents can make verification more difficult and may lead to a query.

9. Review Your Application Carefully

Before submitting the application, go through every section.

Check your:

-Business name
-Full name
-Address
-Email address
-Phone number
-Nature of business
-Proprietor information
-Identification details

Pay particular attention to spelling.

Once an application has been submitted, correcting information may require additional steps depending on the nature of the error.

It is better to identify mistakes before submission than to discover them after approval.

10. Pay the Applicable CAC Fees

After completing the application, you will need to pay the applicable registration fees.

The exact amount depends on the type of registration and the applicable CAC fee schedule.

Do not rely on old articles or social media posts that quote outdated prices.

CAC has published revised fee schedules, and fees can change over time. For example, the Commission’s 2025 fee schedule introduced revised charges for several services.

The safest approach is to check the current official fee displayed through the CAC system before making payment.

Also remember that if you use an agent, lawyer or other professional to assist with registration, their professional service fee may be separate from the official CAC charges.

11. Submit the Application

After completing the form, uploading the necessary documents and making the required payment, submit the application through the portal.

CAC will process the application.

If there is a problem with the information or documentation, the Commission may raise a query requiring you to correct or provide additional information.

CAC’s published service timelines state that new business-name registrations have a timeline of 24 working hours after receipt of relevant documents or compliance with any queries.

This means applicants should avoid assuming that every registration will be approved within exactly 24 hours.

The quality and completeness of the application can affect processing.

12. Download Your CAC Certificate

Once your registration is approved, the registration documents are made available electronically.

CAC’s iCRP information explains that the electronic certificate is automatically generated to the applicant’s dashboard after successful registration and can be downloaded.

Keep a secure digital copy of your certificate.

You may need it when dealing with:

-Banks
-Customers
-Suppliers
-Corporate clients
-Government agencies
-Funding organizations
-Business partners

It is also advisable to keep your other business documents organized.

What Information Should You Keep After Registration?

Registering the business is not the end of your responsibilities.

Keep copies of important records such as:

-CAC certificate
-Registration information
-Identification documents
-Business agreements
-Tax-related documents
-Financial records
-Invoices
-Receipts
-Bank records

Create both digital and physical backups where appropriate.

Having organized records can save you considerable time when applying for contracts, funding, banking services or other opportunities.

What Should You Do After Registering Your Business?

Getting your CAC certificate is an important milestone, but there are additional steps you may need to consider.

1. Open an Appropriate Business Bank Account

Depending on your business structure and banking requirements, you may want a dedicated business or corporate account.

Separating business finances from personal finances can make bookkeeping and financial management easier.

2. Understand Your Tax Obligations

Business registration does not mean you should ignore taxation.

Your tax obligations depend on factors such as your business structure, income, activities and applicable Nigerian tax rules.

Consider speaking with a qualified tax professional if you are unsure about your obligations.

3. Check Industry-Specific Requirements

Some businesses require additional registrations, licences or approvals.

For example, businesses operating in regulated sectors may have requirements beyond CAC registration.

Registering a business name with CAC does not automatically give you permission to operate every type of regulated business.

Research the requirements applicable to your specific industry.

Do You Need a Business Name to Start a Business?

Many people start operating informally before completing registration.

However, formal registration can provide important benefits as your business grows.

A registered business can appear more professional to customers and potential partners.

It can also make it easier to provide documentation when dealing with organizations that require evidence of registration.

If you intend to build a serious long-term business, formalizing the business structure can be an important step.

Can You Register a Business Online in Nigeria? Yes.

CAC has moved significant parts of business registration online.

The official business-name registration page states that registration is now end-to-end through the Company Registration Portal, with electronic certificates and certified extracts available through the system.

This means you do not necessarily need to visit a CAC office simply to begin the registration process.

However, certain situations or complications may require additional assistance or interaction with CAC.

Do You Need a Lawyer to Register a Business Name?

Not necessarily.

CAC explicitly states that individuals and proprietors can register business names without the services of a legal practitioner, chartered accountant or chartered secretary.

This can make business-name registration relatively accessible to small entrepreneurs.

However, a professional may still be useful if your situation is complicated.

For example, you may want professional advice if you are:

-Setting up a company with multiple shareholders
-Drafting complex agreements
-Establishing a partnership
-Entering a regulated industry
-Planning to raise investment
-Unsure about the appropriate business structure

The decision depends on your circumstances.

Common Mistakes to Avoid When Registering a Business

❌Choosing a Name Without Checking Availability

Do not spend money designing logos, printing materials or creating websites around a business name before confirming that you can register it.

❌Using Incorrect Information

Make sure your personal and business information is accurate.

❌Uploading Poor Documents

Blurry or incomplete documents can cause unnecessary delays.

❌Using Outdated Fee Information

CAC fees change. Always check the current official fee schedule.

❌Choosing the Wrong Business Structure

A business name may be sufficient for one entrepreneur but unsuitable for a company planning to raise investment or have multiple shareholders.

❌Ignoring Post-Registration Compliance

Registration is not the end of your responsibilities. Keep up with applicable filings and regulatory requirements.

CAC’s current portal information notes that annual returns are available for business names registered before July 2025, with the Commission upgrading the business-name annual-return process.

How Much Does It Cost to Register a Business in Nigeria?

There is no single answer that applies to every business.

The cost depends on what you are registering and the applicable CAC fees at the time of application.

A business-name registration and a limited liability company registration do not necessarily cost the same.

There may also be additional costs if you use a professional agent, lawyer or consultant.

For this reason, avoid relying on blog posts that provide a single fixed figure without a date.

Instead, check the current CAC fee schedule or the amount displayed in the official registration portal before making payment.

How Long Does CAC Business Registration Take?

CAC’s current revised service timelines list 24 working hours for new business-name registrations once the relevant documents have been received or outstanding queries have been complied with.

However, this should be treated as an official service timeline rather than a promise that every application will be completed within exactly that period.

Errors, missing information, document problems or queries can affect the process.

Providing accurate information from the beginning can help reduce avoidable delays.

Can You Register a Business Without Visiting a CAC Office?

For many straightforward registrations, yes.

CAC’s online system allows public users to create accounts and complete pre-incorporation services through the portal.

The Commission also states that its registration portal allows users to register businesses from anywhere.

This makes the process considerably more convenient for entrepreneurs who have access to a smartphone or computer and a reliable internet connection.

Final Thoughts
Learning how to register a business in Nigeria is an important step for anyone who wants to turn a business idea into a formal venture.

The process has become more accessible because CAC now provides online registration services and electronic certificates. For a straightforward business-name registration, an individual can complete much of the process without necessarily hiring a professional.

The basic process is straightforward: choose a suitable name, check its availability, reserve the name, provide the required business and proprietor information, upload the necessary documents, pay the applicable fees and submit the application.

However, registration should not be treated as the only thing you need to do when starting a business.

You should also consider your tax obligations, industry-specific licences, bookkeeping, banking arrangements, contracts and ongoing compliance.

Most importantly, choose a business structure that matches your current needs and future plans.

If you are starting a small personal business, a business name may be sufficient. If you are building a larger organization with shareholders, investors or significant expansion plans, a company structure may be more appropriate.

Before paying any registration fee, always verify the latest requirements directly through the Corporate Affairs Commission’s official channels, because procedures, fees and regulatory requirements can change.

With the right structure, accurate documentation and proper planning, registering your business can be a relatively manageable first step toward building a more formal and credible business in Nigeria.
